M&A Institute Terms of Use

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and M&A Institute (“MAI,” “we,” “us,” or “our”). These Terms govern your access to and use of your M&A Institute account, our website at www.mnainstitute.com (“Website”), and all products, services, and content available through them (collectively, “Products”). By accessing or using any part of our Products, you expressly acknowledge, understand, and agree to be bound by these Terms.

 

1. Definitions

  • Account: A valid and active user account registered with M&A Institute.
  • Course: An online M&A course or training program provided by M&A Institute.
  • Course Materials: All content, including but not limited to videos, audio files, documents, exercises, AI simulation data, and other materials provided by M&A Institute as part of a Course.
  • Products: Encompasses all Courses, Course Materials, and any other services or offerings provided by M&A Institute.
  • Website: Refers specifically to M&A Institute’s online platform located at www.mnainstitute.com.
  • User Content: Any content, data, or information that you submit, post, or display on the Website, including comments, forum posts, or assignment submissions.

 

2. Eligibility and Permitted Use

  • Eligibility: To register for an Account or purchase any Product, you must be at least 18 years old and possess the legal capacity to enter into a binding contract in your jurisdiction.
  • Lawful and Personal Use: You may use your Account and Products solely for your own lawful, personal, and non-commercial educational purposes. Any commercial use, resale, or redistribution of our Products or Course Materials is strictly prohibited.
  • Account Security: You agree not to share your Account details, including login credentials, with any other person. Each Account is for a single User.
  • System Integrity: You must not attempt to interfere with the proper operation, security, or data integrity of M&A Institute’s systems, networks, or the Website. This includes, but is not limited to, unauthorized access, data mining, or malicious code injection.

4. Transactions and Payments

  • Pricing: All prices for Products are quoted in GBP or USD, as indicated on the Website. M&A Institute reserves the right to change prices at any time without prior notice.
  • Payment Methods: You may purchase Products using the payment methods specified on the Website.
  • Electronic Delivery: Products, including access to online M&A courses and Course Materials, will be delivered electronically upon successful payment.
  • Refunds: M&A Institute’s Refund Policy, available on the Website, governs all refund procedures and conditions. By purchasing a Product, you agree to abide by the terms of our Refund Policy.

 

5. Proprietary Rights

  • Ownership: M&A Institute retains all intellectual property rights, titles, and interests in and to all Products, including all Courses, Course Materials, trademarks, service marks, logos, and any other proprietary content or features on the Website.
  • Limited License: Upon purchasing a Course, M&A Institute grants you a limited, non-exclusive, personal, non-transferable, and revocable license to access and use the specific Course Materials for your own individual participation in that Course. This license does not grant you any ownership rights or rights to sublicense, sell, reproduce, distribute, modify, or create derivative works from the Course Materials.
  • Trademarks: You may not use M&A Institute’s trademarks or trade dress without our prior written permission.
  • Feedback: Any feedback, suggestions, ideas, or other information you provide to M&A Institute regarding the Products or Website may be used by M&A Institute for any purpose without compensation or attribution to you.

 

6. User Content Guidelines

  • Responsibility: You are solely responsible for any User Content that you submit, post, or display on the Website.
  • Prohibited Content: You agree not to post any User Content that is unlawful, harmful, defamatory, obscene, infringing on intellectual property rights, or otherwise objectionable.
  • Monitoring and Removal: M&A Institute reserves the right, but is not obligated, to monitor, review, or remove any User Content at any time, for any reason, without prior notice.

 

7. Account Management

  • Confidentiality: You are responsible for maintaining the confidentiality of your Account credentials.
  • Account Activity: You are solely responsible for all activities that occur under your Account, whether or not authorized by you. You must immediately notify M&A Institute of any unauthorized use of your Account.
  • Suspension or Termination: M&A Institute reserves the right to suspend or terminate your Account and access to Products at any time, with or without notice, if we believe you have violated these Terms or for any other reason, at our sole discretion.

 

8. Disclaimers and Limitation of Liability

  • “As Is” Basis: All Products and the Website are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. M&A Institute does not warrant that the Products will be uninterrupted, error-free, or secure.
  • Limitation of Liability: To the fullest extent permitted by law, M&A Institute shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Products or the Website. This limitation of liability applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if M&A Institute has been advised of the possibility of such damages.

 

9. Termination

  • User Termination: You may terminate these Terms at any time by closing your Account and ceasing all use of our Products.
  • M&A Institute Termination: M&A Institute may terminate these Terms or suspend your access to all or part of the Products at any time, for any reason, with or without notice.

 

 

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by the courts of England and Wales, which shall have exclusive jurisdiction.

 

11. Entire Agreement

These Terms constitute the entire agreement between you and M&A Institute concerning your use of our Products and supersede all prior or contemporaneous communications, understandings, and agreements, whether oral or written, between you and M&A Institute.
